Refund Policy
- All fees paid to Vanguard Strategic Partners (“VSP”) for consulting, advisory, or management services are non-refundable once services have commenced.
- Refunds may be considered only in cases of duplicate payments, billing errors, or failure to deliver contracted services.
- Any request for a refund must be submitted in writing within 10 business days of the invoice date.
Dispute Policy
- Clients must notify VSP of any dispute related to invoices, performance, or contractual obligations within 15 business days of occurrence.
- All disputes must be submitted in writing, with supporting documentation, to VSP’s Client Relations Department.
- VSP will investigate and provide a written response within 20 business days.
- If the dispute remains unresolved, the matter will be escalated to mediation or arbitration under the rules of the American Arbitration Association (AAA) before pursuing litigation.
Cancellation Policy
- Clients may cancel services or engagements by providing 30 days’ written notice.
- Cancellations made with fewer than 30 days’ notice may result in charges for services already performed and any non-recoverable expenses incurred by VSP.
- VSP reserves the right to cancel or suspend services immediately in the event of:
- Non-payment or breach of contract by the client
- Illegal, unethical, or non-compliant activities related to the engagement
- Circumstances beyond VSP’s reasonable control (e.g., force majeure events)
- Non-payment or breach of contract by the client
Terms and Conditions
1. Services
- Vanguard Strategic Partners (“VSP”) provides consulting, advisory, management, and strategic partnership services across multiple industries.
- Scope of services will be outlined in a written agreement or service contract with each client or partner.
2. Payment Terms
- Unless otherwise specified in writing, invoices are due net 30 days from the invoice date.
- Late payments may incur a 1.5% monthly finance charge or the maximum allowed by law.
- VSP reserves the right to suspend services in cases of overdue accounts.
3. Confidentiality
- Both parties agree to maintain the confidentiality of all proprietary, sensitive, or non-public information obtained during the engagement.
- This obligation shall survive termination of the agreement.
4. Intellectual Property
- All materials, strategies, and deliverables developed by VSP remain the intellectual property of VSP unless expressly transferred in writing.
- Clients are granted a limited, non-transferable license to use deliverables solely for internal business purposes.
5. Limitation of Liability
- VSP shall not be held liable for indirect, incidental, or consequential damages arising from services provided.
- Total liability for any claim shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
6. Compliance
- Clients must comply with all applicable laws, regulations, and industry standards related to the engagement.
- VSP reserves the right to terminate any engagement that involves illegal or unethical practices.
7. Governing Law
- These Terms & Conditions shall be governed by and construed under the laws of the State of North Carolina, without regard to its conflict of law principles.
8. Policy Updates
- VSP reserves the right to amend these policies and terms at any time. Updated terms will be communicated to clients and partners in writing.
